Constitution
Section 1 - Name
The name of the Association shall be the LAKE
SUPERIOR SKI DISTRICT - CROSS COUNTRY or LSSD Cross Country for short.
Section 2 - Statement of Purpose
To achieve international competitive
excellence by the establishment and maintenance of a high performance sports
system through programs that support the National Cross Country Ski Team and
development of cross country skiers, consistent with the purpose of CROSS
COUNTRY CANADA.
Section 3 - Objectives
The objectives of the Association are to:
(A) function as the liaison between member
clubs within its boundaries and Cross Country Ontario and Ontario's Districts,
Cross Country Canada, other Ski Associations and various levels of civic,
provincial and national government;
(B) promote competitive and non-competitive skiing in the Division;
(C) govern the conduct of Division skiing competitions;
(D) sponsor Division Championships annually;
(E) provide guidance, information and assistance to member clubs;
(F) promote and encourage support of its purpose by the public.
Section 4 - GEOGRAPHIC AREA
The geographic area of the Division shall be
that area of Ontario from the Manitoba border at its Westerly limit to the 85o
line of longitude at the Easterly limit. The geographic area shall extend from
the U.S. border at the Southerly limit to Hudson Bay at the Northerly limit.
Section 5 - MEMBERSHIP
Membership in the Association shall consist
of the following:
(A) Member Club: Is any club or organization
with 10 or more properly qualified members within the geographic area whose princple objectives are consistent with the Statement of
Purpose of LSSD Cross Country and which has registered and paid the applicable
fees to LSSD Cross Country and the applicable fees for Cross Country Canada;
(B) Associate Club: Is any club or organization involved in cross country
skiing activities within the geographic area that has paid the applicable fees
to LSSD Cross Country;
(C) Member: Any person who shall be a properly qualified member of a member
club;
(D) Associate Member: Any person who shall be a properly qualified member of an
Associate Club;
(E) Supporter: Any other party involved in or supporting cross country skiing
activities
Section 6 - ANNUAL MEETING
Annual Meeting to be held each year prior to
May 31 at a date set by the executive.
The Fiscal and reporting year shall end each
April 30th
Section 7 - VOTING AT ANNUAL
MEETING
Members of member clubs in attendance at the
Annual Meeting will have one vote for the first five members in attendance plus
one additional vote per attending member for every 10 members of the current
club membership list on file with the Association. There shall be no proxy
votes.
There shall be a quorum of 8 members. If
there is no quorum, a second Annual Meeting shall be called at which there
would be no quorum requirement.
Section 8 - NOTICE OF ANNUAL
MEETING, (AGM)
(A) Written notice shall be sent to each
member club and associate club at the last address on record with the
Association’s secretary, not less than two weeks prior to the Annual Meeting.
(B) Notice shall be published in various
public media throughout the Division not less than one week prior to the Annual
Meeting.
Section 9 - SPECIAL GENERAL
MEETING
A Special General Meeting may be held at any
time during the year at the direction of the Executive Committee.
Section 10 - FEES
Fees are to be set by Executive Committee, to
be confirmed at the Annual Meeting.
Section 11 - EXECUTIVE COMMITTEE
The Executive Committee shall be composed of
the following offices:
-Chair
-Vice Chair
-Secretary
-Treasurer
-Certification Chair
-Technical Chair
-Touring/Recreation Chair
-Publicity Chair
-Fund Raising Chair
-Jackrabbit/Youth Co-ordinator
-Coaching Co-ordinator and Provincial Coaching Rep.
-Masters Chair
-Disabled Skiing Chair
-Past Chair (non-voting)
-Member Club Representative (one for each club)
-Associate Club Representative (one for each club)
The Executive Committee shall be generally
responsible overall for the running of the Association between Annual Meetings
including budget ratification and program ratification, election of Chairs for such special committees as may
be required and such further and other policy matters as may reasonably require
sanction of the Association.
Signing authority for legal transactions of
the Association shall be any two of the Chair, Secretary and Treasurer.
Section 12 - EXECUTIVE MEETINGS
Executive meeting shall be called by the
Chair or by written request of 3 executive members as necessary through the
year. A quorum shall be 8 members of the Executive Committee. Those
present by electronic means (ie: teleconference)
shall be recognized as being present.
Two weeks’ notice is necessary for meetings
called by written request.
Each officer shall have one vote at an
Executive Committee meeting. In the event of a tie, the motion shall be
considered lost.
The executive, except for club
representatives, shall be elected by the voting members at the annual meeting.
Section 13 - DUTIES OF EXECUTIVE
CHAIR
The Chair person shall be charged with the general supervision of the
administration, day-to-day management and control of the association, the
calling of meetings thereof, shall be Chair of the Executive Committee Meetings
and ex-officio member of all committees and sub-committees and shall represent
LSSD Cross Country on the Board of Cross Country Ontario. The Chair shall be
elected for a term of one year and may stand for re-election for up to 3 subsequent
consecutive terms. After 5 years out of office as Chair, a person may stand
again for election as Chair.
VICE CHAIR
The Vice Chair person shall assist the Chair in the
administration of day-to-day activities and in the absence of illness of the Chair
shall assume the responsibilities of the Chair for that period. It is assumed
that the Vice Chair will stand for the Chair position after one or more years
in that position.
SECRETARY
The Secretary shall record and distribute minutes of Executive meetings, send
out notices of meetings, distribute LSSD event information, maintain updated
lists of member clubs, club contacts, maintain a record of correspondence with
clubs and other organizations. Experience with word processing and E-mail are
an asset for this position.
TREASURER
The Treasurer shall receive and manage all moneys on behalf of the Association
and keep a proper account of such moneys. Disbursements may only be made with
proper prior approval. The Treasurer shall provide such financial statements
and reports as may be required by the Executive Committee and prepare annual
financial statements, duly audited for presentation at the Annual meeting
PAST CHAIR
The Past Chair will serve in an advisory capacity to the executive and shall
chair the nominating committee. This will be a non-voting position on the
executive.
CERTIFICATION COORDINATOR
The Certification Coordinator shall coordinate the scheduling and budgeting of
coaching technical courses in the Division, maintain records of coaching
certifications, maintain communication with Provincial and National coaching
certification bodies (NCCP, CANSI) and assist with Youth Training in the
Division. Knowledge of the NCCP and /or CANSI certification
programs in an asset for this position.
COACHING COORDINATOR & PROVINCIAL
COACHING REP.
The Coaching Coordinator shall represent LSSD member clubs on the Provincial
Coaching/High Performance committee (currently OADC), act as liaison between
the provincial body and Division Club coaches and athletes, meet periodically
with Division coaches to determine common interests, assist with the
Certification Coordinator in the organization of high performance training
opportunities for coaches and athletes, and arrange for coaching support of all
Division athletes at major events. NCCP level 2 coaching certification or
higher and active coaching status with a Division member club are recommended
for this position.
JACKRABBIT/YOUTH COORDINATOR
The Jackrabbit/Youth Coordinator shall promote youth skiing activities within
the Division, promote the development of leaders and jackrabbit clubs within
the region and represent LSSD Cross Country on the CCO Youth Committee.
Experience as a youth Leader and Level 1 coaching certification are recommended
for this position.
TECHNICAL CHAIR
The Technical Chair shall promote the development of Officials within the
Division through organization of officials’ courses in the region and promote
attendance at Provincial or National courses for Level 3 or higher officials.
The Chair shall coordinate the technical requirements of the LSSD
Championships. Experience in officiating race events and Level 2 Officials
certification are recommended for this position.
MASTERS CHAIR
The Masters Chair shall promote skiing activities of Masters level skiers and
represent the concerns of Masters skiers at the LSSD
and Provincial levels.
DISABLED SKIING CHAIR
The Disabled Skiing Chair shall coordinate the development of programs for
disabled skiers within LSSD and provide liaison between the region and
provincial/national organizations on developments in cross country skiing for
the disabled.
Section 14 - AMENDMENTS TO THE
CONSTITUTION
The constitution may be amended at any annual
meeting provided that a copy of the proposed amendment has been filed with the
Division Chair at least 60 days before the Annual Meeting and a copy thereof
has been mailed to the Member Clubs and Associate Clubs at least 40 days before
such Annual Meeting and is passed by at least two-thirds of the votes cast
at such meetings.
Section 15 - DISSOLUTION
The Association is dissolved by bankruptcy or
by failure to hold an AGM for two consecutive years. In this event, the
Executive Committee shall appoint a Liquidator who shall liquidate the non-cash
assets of the Association and after settlement of all proper obligations of the
Association, shall distribute the remaining cash assets to the member clubs on
a per capita basis, based on the membership reported by the clubs during the
second last year of regular operation of the Association.
